Recent Pet Wholesale M&A and Partnerships: What US & European Buyers Need to Know

If you buy pet products for retail in the US or Europe, the last six months have probably changed your supplier list, or they soon will. Central Garden & Pet, Phillips Pet Food & Supplies, HIG Capital, Paw Prosper. These are not just trade headlines. They affect who you buy from, what you pay, and how fast you can restock.

Central Garden & Pet Takes Control of TRIXIE

In late July, Central Garden & Pet agreed to buy an 80% stake in Germany’s TRIXIE Heimtierbedarf. The deal is valued at up to €400 million, with about €340 million upfront and another €60 million tied to TRIXIE’s fiscal 2026 performance. TRIXIE sells more than 6,000 products to over 30,000 pet retail stores internationally. That includes accessories, toys, treats, habitats, bedding, apparel, and travel gear for dogs, cats, birds, reptiles, and small animals. The deal is expected to close in early 2027, and TRIXIE will keep operating under its own leadership.

For European wholesale buyers, this cuts two ways. On one hand, a bigger Central/TRIXIE group can offer a wider catalog and more reliable supply. On the other, pricing and distribution may become more centralized. If you compete with TRIXIE in categories like pet beds, travel accessories, or apparel, “good enough” products will be harder to sell. You need a reason for buyers to choose you: better materials, faster shipping, lower MOQs, or custom designs.

The Phillips Joint Venture Changes US Distribution

In April 2026, Central and Phillips Pet Food & Supplies formed a pet distribution joint venture. Central kept a 20% stake. Phillips and its investors, led by Axar Capital, hold 80%. The goal is a single nationwide distribution platform with broader reach and faster service.

For independent retailers and smaller wholesalers, this is a big deal. If you rely on one distributor, your rep, terms, and product mix may change. A larger distributor also has more buying power. That can mean lower prices for big-box stores, but tighter margins for everyone else. The practical response is simple: do not depend on one supplier. Keep two or three factories per key category, and build direct relationships where you can.

Private Equity Is Buying Product Innovation

HIG Capital now owns a majority stake in Outward Hound, the company behind Outward Hound, Best Friends by Sheri, and Planet Dog. The money is meant to speed up product development and strengthen retail partnerships. On the service side, Paw Prosper bought Blue-9 Pet Products in February 2026. Blue-9’s behavior and training tools will sit alongside Paw Prosper’s FitPaws brand.

The message for buyers: suppliers are moving from selling single SKUs to selling systems. A training harness, a treat pouch, and a travel mat become one program. If you only offer standalone products, you are easier to replace.

What This Means for Wholesale Buyers

A few pressures are hitting at the same time.

Supplier access is tighter. When large groups buy smaller manufacturers, fewer independent factories remain. If your current supplier gets acquired, your pricing, MOQ, and lead times can change overnight.

Margins are squeezed. Merged distributors can push for lower prices and longer payment terms. Wholesalers who only resell standard products will feel it most. Private label and factory-direct sourcing are no longer nice-to-have. They are how you protect your margin.

Differentiation matters more. US and European buyers are not short of basic leashes, beds, or bowls. They are short of products that solve a problem, look different, ship efficiently, and meet local compliance rules. That is where smaller, flexible suppliers can still win.

Where the Demand Is Right Now

Travel and comfort products are holding up well. Market research puts the global pet car seat protector category at about US$503 million in 2025, growing to US$661 million by 2032, a 4.1% CAGR. Pet beds are also shifting toward orthopedic foam, washable covers, and designs that fit normal home decor. Buyers want fewer, better SKUs that sell year-round.

We make pet car seat covers and orthopedic pet beds for US and European wholesalers. If you need a second supplier, or you want to test a new SKU without a huge MOQ, take a look at our [waterproof pet car seat covers] and [vacuum-packed orthopedic pet beds]. We offer OEM/ODM, custom sizes, private label, and mixed-container options.

What to Do Next

Do not wait for the next acquisition announcement to review your sourcing. Ask a simple question for every key supplier: if this company gets bought next quarter, what happens to my cost, my lead time, and my stock? Then fix the weak spots.

Keep two or three factories per core category. Know your landed cost, not just your FOB price. Test one or two differentiated SKUs each season. The pet wholesale market is consolidating. Your supplier strategy should not.
